Terms of Service

1. Introduction
These Terms of Service ("Terms") govern the use of software development and related services ("Services") provided by Index Studio Inc. ("Company," "we," or "us"). By engaging our Services, you ("Client" or "you") agree to be bound by these Terms.
2. Services
We provide web and mobile application development, UI/UX design, API and backend development, cloud infrastructure, AI/ML integration, maintenance, and technical consulting. The specific scope, timeline, and fees for each project are defined in individual project agreements.
3. Project Agreements
Each project is governed by a separate project agreement or statement of work that specifies deliverables, milestones, timeline, and pricing. In the event of a conflict between these Terms and a project agreement, the project agreement shall prevail for that specific project.
4. Intellectual Property
All deliverables produced during a project — including source code, designs, and documentation — are assigned to the Client upon full payment. Pre-existing technology, libraries, and frameworks owned by the Company prior to the project remain the Company's property. Open-source components are subject to their respective license terms. Alternative intellectual property arrangements may be agreed upon in individual project contracts.
5. Payment
Fees and payment schedules are defined in individual project agreements. Late payments may incur interest at a rate of 1.25% per month. Additional costs arising from scope changes will be quoted and agreed upon before work begins.
6. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This obligation survives for three (3) years following termination. Exceptions include disclosures required by law or made with mutual written consent.
7. Limitation of Liability
The Company shall not be liable for damages arising from force majeure events. Our total liability for any project shall not exceed the fees paid for that project. We are not liable for indirect, incidental, or consequential damages — including lost profits or data loss — except in cases of willful misconduct or gross negligence.
8. Termination
Either party may terminate a project agreement with 30 days' written notice. Upon termination, the Client shall pay for all work completed up to the termination date. Either party may terminate immediately if the other party materially breaches these Terms or a project agreement and fails to cure the breach within 14 days of written notice.
9. Warranties
We warrant that Services will be performed in a professional and workmanlike manner. We provide a 30-day warranty period after delivery during which we will fix defects in deliverables at no additional cost. Except as expressly stated, Services are provided "as is" without further warranties.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the court having jurisdiction over the registered headquarters of Index Studio Inc.
